NEPI Rockcastle integrates sustainability considerations into its corporate governance framework and strategic decision-making processes. Oversight of sustainability-related matters is provided by the Board of Directors, with ongoing coordination by the Sustainability Committee. This governance structure supports a consistent approach to managing ESG topics across the Group’s operations and stakeholder engagement activities.
The Group continues to develop and implement measures aimed at improving the long-term sustainability of its operations and governance. Efforts remain focused on investments aligned with energy efficiency, low carbon technologies and the adoption of policies addressing identified environmental and social risks, and structured engagement with key stakeholder groups. These actions are designed to enhance risk management, support operational resilience, and enable informed decision‑making over the long term.

As part of the ambition to lead positive change, we aim to work with partners who share our commitment to creating long‑term value through responsible practices across all ESG pillars. This shared commitment is essential to reducing the environmental impact of building operations and to maintaining or enhancing the environmental performance of our properties. To this extent, the Group directs efforts on reducing carbon footprint of its portfolio.
NEPI Rockcastle has aligned its reduction emissions targets with the latest scientific research and these have been validated by the Science Based Targets initiative (SBTi). Through rigorous analysis and adherence to SBTi criteria, we ensure that our targets are ambitious, credible, and contribute effectively to global efforts in combating climate change. Our commitment to SBTi empowers us to make meaningful strides towards a more sustainable future.
NEPI Rockcastle is committed to respecting and promoting internationally recognized human rights across its operations and value chain. The company aligns its practices with the International Bill of Human Rights, the UN Guiding Principles on Business and Human Rights, the OECD Guidelines, and the ILO Core Conventions. NEPI Rockcastle works to prevent, mitigate, and address any human rights risks or impacts connected to its activities, business relationships, or supply chains. The company also maintains open and accessible communication channels to support transparency and accountability as outlined in this policy.
Green and Sustainability-Linked Financing
€2 billion green bonds have been issued under the Green Finance Framework and a green loan agreement concluded with the IFC in June 2021. The Company has committed to use proceeds from green bonds and green loans to finance or refinance existing and future projects which improve the environmental performance of the Group’s property portfolio.
Moreover, NEPI Rockcastle has established a robust Sustainability-Linked Financing Framework SLFF) to guide its future funding initiatives. This framework incorporates Key Performance Indicators (KPIs) and Sustainability Performance Targets (SPTs) that are intricately linked to our commitment to reduce greenhouse gas emissions and enhance energy efficiency across all our operations. Under the Sustainability-Linked Financing Framework the following unsecured loan facilities have been concluded:
• €445 million loan with IFC, a member of the World Bank
• €250 million revolving credit facility with a club of 5 banks (Citi, Deutsche Bank, HSBC, SBMC and JP Morgan)
• €200 million revolving credit facility with Raiffeisen Bank International and Erste Group
• €190 million revolving credit facility with a club of 3 banks (BRD, Garanti and UniCredit)
• €100 million revolving credit facility with ING Bank

Climate Change Risks And Opportunities Report
The Task Force on Climate-related Financial Disclosures (TCFD) report is a framework developed to help companies disclose climate-related risks and opportunities in a consistent and transparent manner. It provides guidance on how NEPI Rockcastle assesses and discloses climate-related financial information across four key areas: governance, strategy, risk management, and metrics/targets. The TCFD report aims to enhance the understanding of climate-related risks and opportunities, facilitating informed decision-making and promoting the transition to a more sustainable, low-carbon economy.
BREEAM Certified Buildings
BREEAM is a widely used environmental assessment and certification system for buildings, providing a structured framework to evaluate selected aspects of environmental performance across design, construction and operation phases. Certification under BREEAM indicates that a building has been assessed against defined criteria and has met the requirements corresponding to a specific rating level.
As part of its sustainability approach, the Group monitors certified buildings and undertakes certification or re-certification where applicable. These assessments are carried out by independent, authorized BREEAM assessors and are used as one of several tools to support ongoing review and improvement of building management practices over time.
